Thank you for your interest in ClockDM (“ClockDM,” “we,” or “us”) and our website at https://clockdm.com, along with our related websites, hosted applications, mobile or other downloadable applications, and other services provided by us (collectively, the “Service”).
These terms of use (“T&C”) mandate that (i) "You", “Your”, “Yourself” or "User"; and (ii) “End-User”; (“Users” and “End Users” collectively referred to as “they”, “them” or “their”) hereby agree to these T&Cs for accessing or availing the Services offered (directly or indirectly) by ClockDM, a company incorporated in India.
These Terms of Service are a legally binding contract between you and ClockDM regarding your use of the Service.

BY CLICKING “I ACCEPT,” OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING CLOCKDM’S PRIVACY POLICY AND OTHER POLICIES REFERENCED BELOW (TOGETHER, THESE “TERMS”). IF YOU ARE NOT ELIGIBLE, OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE. YOUR USE OF THE SERVICE, AND OUR PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY CLOCKDM AND BY YOU TO BE BOUND BY THESE TERMS.
It is strongly recommended to Users and End Users to return to this page periodically to review the most current version of the T&C in force. Their continued access or use of the Website signifies their assent/ratification of the updated or modified Terms, if any. By furnishing information relating to them (“Personal Information”) to the Company on the Platform or by giving their consent to the Company to access their Personal Information for the purpose of rendering the Services or otherwise, they agree that they are interested in availing the Services or other features of the Platform offered by ClockDM in accordance with these T&Cs.
1. Eligibility
You must be at least 13 years old to use the Service. By agreeing to these Terms, you represent and warrant to us that: (a) you are at least 13 years old; (b) you have not previously been suspended or removed from the Service; and (c) your registration and your use of the Service is in compliance with any and all applicable laws and regulations. If you are an entity, organization, or company, the individual accepting these Terms on your behalf represents and warrants that they have authority to bind you to these Terms and you agree to be bound by these Terms.
2. Accounts and Registration
a. Account Creation: To access most features of the Service, you must register for an account. When you register, you may be required to provide us with some information about yourself, such as your name, email address, or other contact information, and/or to link certain outside accounts, email addresses, phone numbers, other platforms, or a digital wallet (collectively, “Linked Accounts”). You agree that the information you provide to us is accurate, complete, and not misleading, and that you will keep it accurate and up to date at all times. You further agree that all Linked Accounts are your own and you have all necessary rights to link them to the Service. You are solely responsible for maintaining the confidentiality of your account credentials, and you accept responsibility for all activities that occur under your account. If you believe your account is no longer secure, please notify us immediately.
b. Access Restrictions: ClockDM shall have the unfettered right to limit the access of any User if they do not fulfill or cease to fulfill the eligibility criteria as mentioned in this clause.
c. Usernames and URLs: You may choose a unique username and URL during registration. You warrant that the username and URL chosen does not violate the rights of any third parties, including intellectual property, and cannot reasonably be considered to be immoral, deceptive, scandalous, misleading, or obscene.
d. Identity Verification: You must provide accurate, current, and complete information during registration. Inaccurate, incomplete, or obsolete information may result in the immediate termination of Your Account on the Platform. You agree not to impersonate or misrepresent your affiliation with any person or entity.
e. Third-Party Interactions: ClockDM is not liable in any manner whatsoever in respect of any communication between You and third persons via the Platform. Your relationships and business dealings with any third parties shall be solely matters between you and such third parties.
3. General Payment Terms
Certain features of the Service may require you to pay fees. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. All fees are denominated in the stated currency and are non-refundable unless otherwise specifically provided for in these Terms.
4. Pricing
ClockDM reserves the right to determine pricing for the Service and any fees it may charge. We shall make reasonable efforts to keep pricing information published on the Service up to date. ClockDM may change the fees for any feature of the Service, including additional fees or charges, before they apply. Promotional offers and discounts, unless explicitly made to you, will not apply to your subscription.
5. Payment Authorization
You authorize ClockDM to charge all sums for the orders that you make and any level of Service you select as described in these Terms or published by us, including all applicable taxes, to the payment method specified by you. If you pay any fees with a credit/debit card or via UPI/Netbanking, we may seek pre-authorization of your account prior to your purchase to verify that the payment method is valid and has the necessary funds.
6. Taxes (GST and Withholding)
a. GST and Indirect Taxes: Since the company is based in India, payments will be subject to applicable Goods and Services Tax (GST) and other statutory levies in accordance with Indian tax laws. These taxes will be calculated and billed on top of the base subscription fee.
b. Withholding Taxes: If required by applicable tax laws, you or ClockDM may be obligated to withhold tax amounts from payments. Each party will comply with their respective statutory obligations in reporting and remitting withholding taxes.
7. Subscriptions and Recurring Payments
a. Subscription Billing: The Service may include periodic, automatically recurring payments (“Subscription Products”). By activating a Subscription Product, you authorize ClockDM or its payment processors (such as Stripe, Razorpay, or others) to charge all periodic fees on or before the due date.
b. Cancellation: You must cancel your subscription before it renews in order to avoid billing of the next cycle's fees. You can cancel your subscription at any time through your account settings or by contacting our support.
c. Delinquent Accounts: ClockDM may suspend or terminate access to the Service for any account for which any amount is due but unpaid. Delinquent accounts may also be charged collection fees.
8. Account Termination & Suspension
We reserve the right to suspend or terminate your account at any time, in our sole discretion, for violation of these Terms, as directed by law enforcement, or if we suspect fraudulent or unauthorized activity. If your account is suspended, we will restore access only when the underlying issues are resolved to our satisfaction.
9. Licenses and Restrictions
a. Limited License: Subject to your compliance with these Terms, ClockDM grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service.
b. Restrictions: You may not copy, modify, distribute, reverse engineer, or attempt to extract the source code of the Service, nor bypass or circumvent any security or access control features of the platform.
10. Ownership and Proprietary Rights
The Service, including the design, compiled code, graphics, and branding materials (excluding raw User Content), is owned and operated by ClockDM. All right, title, and interest in and to the Service remain with ClockDM or our third-party licensors.
11. Third-Party Integrations
The Service enables you to link your account to third-party platforms (like Instagram, Meta, etc.). We are not responsible for the policies, availability, or actions of third-party platforms, nor for any account suspensions or restrictions they may place on your profiles due to your automation workflows.
12. User Content
You retain ownership of any data, messaging copy, workflows, or materials you upload or create using the Services (“User Content”). By posting User Content, you grant ClockDM a worldwide, non-exclusive, royalty-free license to host, store, process, and transmit your User Content solely to provide and improve the Services.
13. Prohibited Conduct
By using the Service, you agree NOT to:
- Use the automation features for spamming, harassment, or unlawful campaigns.
- Sell or share third-party user data acquired via the Service.
- Attempt to access the accounts of other users without authorization.
- Disseminate viruses, malware, or utilize automated scraping tools to extract platform data.
- Perform any fraudulent activities or falsely represent your identity.
14. Copyright & IP Protection
We respect intellectual property rights. If you believe any material on the Service infringes your copyrights, please submit a notification of infringement to our legal contact at hello@clockdm.com.
15. Governing Law and Jurisdiction
These Terms and your relationship with ClockDM shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.
